Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ubid.top (the “Service”), operated by Hera Global Holdings (“Hera Global Holdings”, “we”, “us”, or “our”), a company registered in England and Wales with its registered office at 24-26 Arcadia Avenue, Fin009, London, England, N3 2JU. By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old and able to form a legally binding contract to use the Service. By using the Service, you represent that you meet these requirements and that your use complies with all applicable laws.

ubid.top allows creators to publish a public leaderboard page where advertisers can bid for placement and visibility. Creators may earn revenue from successful bids; advertisers pay to be featured according to the pricing and placement rules displayed on the Service. We may add, change, or remove features at any time.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorised use of your account. We may suspend or terminate accounts that provide inaccurate information or violate these Terms.

• Advertisers agree to pay the bid or placement amount at the time a bid is placed or accepted, plus any applicable fees and taxes.
• Creators receive payouts based on net earnings from successful bids, less applicable platform fees, as described on the Service.
• Payments are processed by third-party payment providers. You agree to their applicable terms and provide accurate billing information.
• All fees are non-refundable except where required by law or expressly stated otherwise.
• We may withhold, delay, or reverse payouts to investigate suspected fraud, chargebacks, or violations of these Terms.

You retain ownership of content you submit to the Service (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, and distribute it as necessary to operate and promote the Service. You are solely responsible for your User Content and confirm you have the rights necessary to post it.

You agree not to:

• Use the Service for any unlawful, fraudulent, or deceptive purpose.
• Post content that infringes intellectual property rights, is defamatory, or is otherwise unlawful.
• Manipulate bids, leaderboards, or metrics through automated tools, bots, or fraudulent transactions.
• Attempt to gain unauthorised access to the Service, other accounts, or our systems.
• Interfere with or disrupt the integrity or performance of the Service.

We may investigate and take appropriate action, including suspending or terminating accounts, for violations of this section.

The Service, including its design, software, trademarks, and logos, is owned by Hera Global Holdings or its licensors and is protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service without our prior written consent.

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms or if we reasonably believe doing so is necessary to protect the Service, other users, or third parties. Provisions that by their nature should survive termination will survive, including payment obligations, disclaimers, and limitations of liability.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

To the fullest extent permitted by law, Hera Global Holdings shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the greater of £100 or the amount you paid us in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.

You agree to indemnify and hold harmless Hera Global Holdings and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Service, your User Content, or your violation of these Terms.

We may update these Terms from time to time. We will post the revised Terms on this page with an updated “Last updated” date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
